(i) Sale of an aggregate of 760,000 Stapled Securities by M&C REIT Management Limited ("M&C REIT"), and (ii) Allotment of an aggregate of 6,069,769 Stapled Securities to M&C REIT, as payment of its management and acquisition fees from CDL Hospitality Real Estate Investment Trust to M&C REIT.
HLIH and KH are deemed to be interested in the Stapled Securities held by M&C REIT by virtue of the provisions of Section 7 of the Companies Act, Chapter 50.
4. A statement of whether the change in the percentage level is the result of a transaction or a series of transactions: The change in the percentage level is the result of a series of transactions as set out in paragraph 3 above. This Notice is submitted as an update of the deemed interests of HLIH and KH as at 30 January 2012 notwithstanding that the percentage level of deemed interest in CDL Hospitality Trusts did not change by 1%.
