(i) Allotment of an aggregate 1,827,538 Stapled Securities to M&C REIT Management Limited ("M&C REIT"), as payment of its management and acquisition fees from CDL Hospitality Real Estate Investment Trust to M&C REIT and (ii) sale of 436,000 Stapled Securities by M&C REIT.

ATOS, M&CAH, M&C Hotels and CDL are deemed to be interested in the Stapled Securities held by M&C REIT by virtue of the provisions of Section 7 of the Companies Act, Chapter 50.
4. A statement of whether the change in the percentage level is the result of a transaction or a series of transactions: The change in the percentage level is the result of the circumstances set out in paragraph 3 above.
