Report of the Trustee
of CDL Hospitality Real Estate Investment Trust
DBS Trustee Limited (the “H-REIT Trustee”) is under a duty to take into custody and hold the assets of CDL
Hospitality Real Estate Investment Trust (“H-REIT”) held by it or through its subsidiaries (collectively, the “H-REIT
Group”) in trust for the holders of units in H-REIT. In accordance with the Securities and Futures Act, Chapter 289
of Singapore, its subsidiary legislation and the Code on Collective Investment Schemes and the Listing Manual
(collectively referred to as the “laws and regulations”), the H-REIT Trustee shall monitor the activities of M&C REIT
Management Limited (the “H-REIT Manager”) for compliance with the limitations imposed on the investment and
borrowing powers as set out in the trust deed dated 8 June 2006 as amended by the First Supplemental Deed
dated 11 January 2007, the Second Supplemental Deed dated 26 March 2010 and the Third Supplemental Deed
dated 20 July 2010 (collectively, the “H-REIT Trust Deed”) between the H-REIT Manager and the H-REIT Trustee in
each annual accounting period; and report thereon to unitholders in an annual report which shall contain the matters
prescribed by the laws and regulations as well as the recommendations of Statement of Recommended Accounting
Practice 7 “Reporting Framework for Unit Trusts” issued by the Institute of the Certifed Public Accountants of
Singapore and the provisions of the H-REIT Trust Deed.
To the best knowledge of the H-REIT Trustee, the H-REIT Manager has, in all material respects, managed the H-REIT
Group during the period covered by these fnancial statements set out on pages 68 to 119, comprising the H-REIT
Group’s Statement of Financial Position, Statement of Total Return, Statement of Movements in Unitholders’ Funds,
Distribution Statement, Portfolio Statement, Statement of Cash Flows and Notes to the Financial Statements, in
accordance with the limitations imposed on the investment and borrowing powers set out in the H-REIT Trust Deed,
laws and regulations and otherwise in accordance with the provisions of the H-REIT Trust Deed.
